These Terms and Conditions ("Terms") govern your access to and use of AADOPS, a platform owned and operated by Affitrage Ltd, a company incorporated in Nigeria ("Affitrage", "we", "us"). This includes aadops.com, the web application, mobile application, marketplace, wallet system, AAD Partner Programme, Agent System, Support System, and all associated services (collectively the "Platform"). By registering or using any Platform feature, you ("you", "User", "Tenant") agree to be bound by these Terms in their entirety.
Affitrage Ltd operates from Port Harcourt, Rivers State, Nigeria. These Terms are governed by the laws of the Federal Republic of Nigeria.
You may use AADOPS if you satisfy all of the following conditions:
Affitrage Ltd reserves the absolute right to refuse, suspend, or permanently terminate any account at its sole discretion where these conditions are not met, where Terms are violated, or where the account poses risk to the Platform, its users, or Affitrage Ltd.
At registration you provide your full name, email address, a password, and business type. You are solely responsible for: maintaining the confidentiality of your login credentials; all activity that occurs under your account; and notifying Affitrage Ltd immediately at support@aadops.com if you suspect unauthorised access. You may not share credentials with non-registered staff or create multiple accounts to circumvent limits. Accounts created in violation are subject to immediate termination without refund.
AADOPS offers a free Starter plan and paid Premium plans (monthly, quarterly, and yearly billing) priced in Nigerian Naira (NGN). Current pricing is displayed on the pricing page and in your account settings. Affitrage Ltd reserves the right to modify pricing with 30 days written notice before any price change takes effect on your subscription.
Payments are processed by Flutterwave Payment Solutions Ltd on behalf of Affitrage Ltd. By subscribing you authorise Affitrage Ltd to charge your chosen payment method at the commencement of each billing period. Accepted payment methods include cash (in-person), bank transfer, Paystack POS, cheque, USSD, mobile money (OPay, PalmPay, Moniepoint), Flutterwave, and NQR/QR Code.
Premium subscribers may activate specialist modules and resource bundles as paid addons. Module addon fees are billed separately on the same cycle as your subscription. Resource addons co-expire with your subscription. Addons are non-refundable except as described in the Refunds and Returns Policy.
Paid plans include a 14-day free trial period. No payment is taken during the trial. If you cancel before the trial ends, no charge is made. One trial per plan per tenant. Affitrage Ltd reserves the right to modify or discontinue free trials at any time.
You may cancel your subscription at any time through Settings. On cancellation, your paid plan remains active until the end of the current billing period, after which your account downgrades to Starter. No refund is issued for remaining days except as described in the Refunds and Returns Policy.
The AADOPS wallet is a platform-managed credit balance facility. Your wallet balance is not a bank deposit, is not insured by the NDIC, does not earn interest, and is not redeemable for cash except as provided in these Terms.
You may top up your wallet via Flutterwave. Minimum top-up: ₦1,000. Maximum single top-up: ₦5,000,000. Only the primary account owner may initiate a top-up.
Your wallet has three components: Total balance — the full amount credited including locked funds; Locked balance — funds locked as part of an active AAD bid, unavailable for any other purpose until released; Available balance — total minus locked, the only amount available to spend.
On voluntary account closure, available wallet balance (excluding locked AAD funds) may be refunded to the registered bank account, subject to identity verification and up to 10 business days processing. If Affitrage Ltd terminates an account for breach of Terms, all wallet balances are forfeited without refund unless otherwise required by Nigerian law.
AADOPS operates a B2B marketplace. Affitrage Ltd is strictly a platform intermediary — not a party to any transaction, not the seller or buyer of any goods, and not responsible for goods quality, seller conduct, or delivery outcomes beyond dispute resolution.
By listing goods you represent and warrant that: you have full legal title or authority to sell; goods are accurately described; listed quantity is genuinely available; confirmed orders will be fulfilled; and goods are not prohibited, counterfeit, stolen, unsafe, or illegal.
By placing an order you agree to: pay through AADOPS escrow; inspect goods upon delivery and confirm honestly before the 72-hour window closes; raise any dispute before confirming delivery; and not raise false dispute claims.
Affitrage Ltd charges a commission on completed marketplace transactions. The current rate is displayed in your account settings and on the pricing page. Commission is deducted from escrow before disbursement. The rate applicable at time of listing applies to that transaction even if the rate changes before completion.
Marketplace selling requires KYC or KYB verification. Affitrage Ltd enforces deal thresholds based on verification tier — the maximum total listing value a seller may hold is determined by their verification level. Affitrage Ltd may adjust deal thresholds at any time.
Marketplace payments are held in escrow managed by Affitrage Ltd via Flutterwave until delivery confirmation or automatic release conditions are met.
If a registered logistics provider confirms delivery and the buyer has not confirmed or raised a dispute within 72 hours, escrow releases automatically to the seller. Buyers are responsible for monitoring orders and acting within this window.
Either party may raise a dispute before escrow releases. Process: Affitrage freezes escrow and notifies both parties → both parties submit evidence within 5 business days → Affitrage issues a determination within 10 business days → determination is implemented. Affitrage Ltd determination is final and binding.
Released funds transfer to the seller's registered bank account via Flutterwave, typically within 24 hours of release. Affitrage Ltd is not responsible for delays attributable to seller bank, Flutterwave processing times, or erroneous bank details.
The Logistics module supports two tiers: informal providers (independent riders and agents using zone-based pricing) and formal carriers (including GIG Logistics, Bolt, and UberDirect) accessed via API integration.
Affitrage Ltd is a technology facilitator only, not a logistics carrier. Affitrage Ltd does not employ riders, own vehicles, or guarantee delivery outcomes. Delivery contracts are between the requesting tenant and the logistics provider. Affitrage Ltd is not liable for delayed, damaged, lost, or stolen goods; rider or carrier conduct; or formal carrier API failures.
CoD arrangements are direct financial arrangements between the tenant, recipient, and logistics provider. Affitrage Ltd does not process, hold, or guarantee CoD collections. Tenants assume full risk for CoD arrangements.
Delivery quotes are estimates based on provider zone rates or base rates. Final charges are as agreed between the tenant and the provider at assignment. Affitrage Ltd does not guarantee quote accuracy.
Logistics notifications may be sent via WhatsApp or SMS using third-party messaging services (including Termii and Twilio). By using the Logistics module you consent to receiving transactional notifications via these channels. Affitrage Ltd is not responsible for delayed or undelivered notifications attributable to third-party failures.
The AAD Partner Programme allows eligible Premium subscribers with completed KYC to bid for AAD units in platform-issued batches and earn a proportional share of the monthly Premium subscription revenue pool. The Programme is governed in full by the AAD Partner Programme Rules, which form part of these Terms by reference and are available at aadops.com/aad-programme-rules.
Participation in the AAD Partner Programme is not an investment, security, or financial product. AAD units do not represent equity, debt, or any ownership interest in Affitrage Ltd. Returns are variable and not guaranteed. Affitrage Ltd makes no representations as to future payout amounts or subscription revenue levels. Past distributions are not indicative of future performance.
Affitrage Ltd has absolute and unreviewable authority over all AAD Economy functions including batch creation, allotment, distribution approval, exchange listing approval, and tranche transitions. Affitrage Ltd determinations on AAD matters are final.
Earnest deposits are deducted from your wallet immediately upon bid submission. If your wallet available balance is insufficient at the time of allotment to cover the remaining balance due on allotted units, your earnest deposit is forfeited. Forfeited earnest deposits are not refunded under any circumstances.
Sales Agents promote AADOPS Premium subscriptions via a unique referral link and earn commission on qualifying activations. Sales Agent status requires sadmin approval. Affitrage Ltd reserves the right to approve, suspend, or revoke Sales Agent status at its absolute discretion. Commission rates may be changed with 30 days notice.
Support Agents are KYC-verified individuals approved by sadmin to provide operational assistance to tenants for an agreed fee. Agents access tenant accounts only through the EnsureAgentScope system, limited to modules in the assignment scope. The Support Agent fee is paid tenant → Affitrage Ltd wallet debit → agent wallet credit. Affitrage Ltd is the fee intermediary.
Agents must not: access data outside their approved scope; use tenant information beyond the assignment; represent themselves as Affitrage Ltd employees; or solicit direct payments outside the Platform fee mechanism. Breach results in immediate revocation and may result in legal action. Affitrage Ltd is not liable for agent conduct — agents bear personal liability for their own actions.
All registered users may access a unique referral link through the Platform. Rewards are credited to your wallet when a referred business registers, activates a paid plan, and remains active for the qualifying period (currently 30 days) without violating Terms. Affitrage Ltd reserves the right to modify reward amounts (14 days notice), suspend or terminate the programme, withhold rewards where fraud is suspected, and reverse credited rewards where the referred account is found fraudulent. Referral rewards are Platform credits only — not redeemable for cash.
Marketplace selling, AAD Partner participation, and Support Agent status require identity verification. Individual KYC requires a valid NIN. Business KYB requires a CAC number and supporting documents. By submitting verification documents you confirm all information is true and complete, consent to Affitrage Ltd processing this data for verification and fraud prevention, and consent to sharing with authorised verification partners (including Prembly Identity Solutions).
Affitrage Ltd may revoke verification at any time if information is false, if the account poses a compliance risk, or if required by regulatory authority. Revocation restricts access to verified features without refund of subscription fees.
You may not use AADOPS for any of the following:
Violations result in immediate suspension or permanent termination without notice and without refund. Affitrage Ltd may report suspected violations to relevant Nigerian regulatory and law enforcement authorities.
The AADOPS Platform — its source code, algorithms, design, brand identity, and original content — is the intellectual property of Affitrage Ltd protected under Nigerian law. You retain full ownership of all data you input. By using the Platform you grant Affitrage Ltd a limited, non-exclusive, royalty-free licence to process and store your data solely to provide the Platform services. Affitrage Ltd will not sell your identifiable business data to third parties or use it for advertising.
Affitrage Ltd is not liable for any failure or delay in Platform performance caused by events beyond its reasonable control, including acts of God, power failures, internet outages, failures of third-party services (Flutterwave, AWS, Prembly, GIG Logistics, Bolt, UberDirect, Termii, Twilio), government action, civil unrest, or any other unavoidable event. Affitrage Ltd will make reasonable efforts to restore service and communicate status through available channels.
To the maximum extent permitted by Nigerian law, Affitrage Ltd is not liable for:
Nothing limits Affitrage Ltd's liability for fraud, fraudulent misrepresentation, death or personal injury caused by Affitrage Ltd's negligence, or any liability that cannot be excluded under Nigerian law.
Stated first-response times published in the Platform guide are targets, not guaranteed service levels. Affitrage Ltd does not guarantee any specific response time. Affitrage Ltd is not liable for any loss arising from delayed support responses.
Marketplace disputes follow the escrow dispute process in Section 6.3. Affitrage Ltd determination is final and binding.
All other disputes between you and Affitrage Ltd shall be resolved as follows:
Each party bears its own legal costs unless the arbitrator orders otherwise.
To the extent permitted by Nigerian law, you waive any right to bring or participate in a class action, collective claim, or representative proceeding against Affitrage Ltd. All disputes must be brought individually.
These Terms are governed by the laws of the Federal Republic of Nigeria, including the FCCPA 2018, NDPR 2019, NDPA 2023, and applicable CBN guidelines. Subject to the arbitration clause in Section 17.2, you submit to the exclusive jurisdiction of the courts of Rivers State, Nigeria for any matter not subject to arbitration.
Material changes are communicated by email at least 14 days before taking effect. Minor changes (corrections, clarifications, new feature coverage that does not reduce your rights) may take effect immediately with notice posted in the Platform. Continued use after the effective date constitutes acceptance.
